Renew BioLab Partner (Affiliate) Program Agreement
Version 2.0. Effective September 1, 2026.
This Partner Program Agreement (the “Agreement”) is between Renew BioLab Inc. (“Renew BioLab,” “we,” “us”) and the person or entity enrolling as a partner (“Partner,” “you”). It governs your participation in the Renew BioLab Partner Program (the “Program”). By applying to, or participating in, the Program, you agree to this Agreement.
1. Enrollment and the Program
Application. You must apply and be approved. We may accept or decline any application at our sole and absolute discretion, and a rejected applicant has no claim against us on that basis. You must be at least 21 years old (or a validly formed entity) and provide accurate information.
Your partner tools. On approval you receive a unique referral link and a customer discount code that resolve to your account in our affiliate platform, and a QR code where we make one available. You may not alter, share for misuse, or misrepresent these.
2. Commissions
Commission rate. You earn a commission of 20% of the qualifying net sale amount of orders correctly attributed to you through the affiliate platform. Where a referral is a subscription or membership, the referred account must remain active for at least 31 days before the related commission clears.
You cannot refer yourself, and you will not receive a commission on your own accounts.
Qualifying net sales. The commissionable amount is the product subtotal after any discounts (including your customer discount code) and before taxes, shipping, and any fees. Orders that are canceled, refunded, charged back, fraudulent, or paid with funds we do not receive or that are later reclaimed do not qualify, and any related commission is reversed.
Attribution. Attribution is determined solely by the affiliate platform’s tracking, for example use of your referral link or your assigned discount code. Only one Partner is credited per order, as determined by the platform’s configuration. Where records conflict, the platform’s records govern.
No stacking abuse. Your customer discount code may not be combined with other codes except as we allow, and may not be posted to coupon-aggregator or other unauthorized sites. Section 8 sets out the coupon and deal rules in full.
3. Customer discount (10% first order, 5% after)
Customer incentive. Customers who use your referral link or your assigned discount code receive 10% off their first qualifying order placed through the Program, and 5% off their subsequent qualifying orders, as configured in the Program. We may change or suspend the incentive prospectively at any time.
4. Refund/return hold and adjustments
Hold period. Commissions are held as pending until the applicable refund/return window and payment-clearing period have passed. Only cleared commissions are payable.
Reversals. If an order is later refunded, canceled, or charged back, the corresponding commission is reversed and may be deducted from current or future payouts. A negative balance may be carried forward.
5. Payments
Schedule. We review commissions monthly and pay cleared commissions on a set monthly date, the 15th of the following month, for the prior period, provided your balance meets the minimum payout threshold of $50.
Method. Payouts are issued to your designated bank or ACH account through our affiliate and payout provider. We do not pay commissions in cash, store credit, or product unless we agree in writing. You are responsible for keeping your payout details current, and we are not responsible for payments sent to an outdated or incorrect account you provided.
Taxes and reporting. You are an independent contractor responsible for your own taxes. Before any payout, U.S. Partners must provide a completed IRS Form W-9 (or W-8 for non-U.S.). We will issue a Form 1099 where required (generally U.S. Partners paid $600 or more in a calendar year). We may withhold payouts until valid tax information is on file.
6. Promotional conduct and compliance

Research-use-only framing. You will present research products strictly as “Research Use Only — not for human or veterinary consumption,” consistent with our labeling and disclaimers.
No medical or therapeutic claims. You will not make or imply any medical, therapeutic, dosing, diagnostic, disease-treatment, performance-enhancement, or clinical-benefit claim about any product, and will not suggest human/animal use. You will not present products as dietary supplements, drugs, or approved by the FDA.
FTC disclosure. You will clearly and conspicuously disclose your paid/affiliate relationship in every promotion (for example, “#ad,” “paid partnership,” or equivalent), in accordance with FTC guidance.
Honest, lawful marketing. You will not use false or misleading statements, spam, unsolicited messaging, malware, or deceptive practices, and you will comply with all applicable laws, platform rules, and advertising policies.
Brand use. You may use Renew BioLab names and approved creative only to promote the Program per any brand guidelines we provide. You may not bid on our trademarks in paid search, register confusingly similar domains/handles, or imply you are Renew BioLab.
7. Promotional channels, links, and creative
Permitted channels. You may promote the Program using your own website or blog, email sent to recipients who have opted in to hear from you, social media accounts you control, and online or offline classified ads, magazines, and newspapers. Any other channel requires our prior written approval.
Creative. You may use the graphics, text, and creative we provide, or create your own, provided it complies with Section 6 and is not misleading. We may require you to change or remove any creative, and you will do so promptly on request.
Links and tracking. You must use your assigned referral link, discount code, or QR code where provided, so that orders are tracked correctly. You may not mask, cloak, redirect, or shorten links in a way that hides the destination or the affiliate relationship, and your link must send the visitor to our site.
Intellectual property. Renew BioLab names, logos, product names, and creative remain ours. We may require a separate license agreement from any Partner who uses our trademarks, and we may revoke permission to use them at any time.
8. Coupons, deals, and paid search
Authorized codes only. You may promote only the discount code assigned to you. Codes we issue to other partners, to newsletter subscribers, or for specific campaigns are not yours to promote.
Deal and coupon site conduct. You may not use text, buttons, or images that imply a deal exists when it does not, or that imply savings other than those currently authorized for you. A visitor must be able to see the actual coupon or deal details before any affiliate cookie is set, so a “click here to see coupons” link that sets a cookie and opens our site is not allowed. You may not generate pop-ups, pop-unders, iframes, frames, or any other visible or hidden action that sets an affiliate cookie unless the visitor has clearly and deliberately clicked a marked link, button, or image for that specific offer. Sites using “click for deal” text, or any variation of it, where no deal is available will be removed from the Program immediately.
Paid search. You may not bid on Renew BioLab trademarks, brand terms, product names, common misspellings, or phrases such as “Renew BioLab coupon” or “Renew BioLab discount,” and you may not use our domain, or a variation of it, as the display URL. Generic keyword advertising is permitted, meaning ads on category or research terms that do not include our brand, provided the ads comply with Section 6, carry the disclosure required by Section 6, and send traffic to our site through your referral link. You may not send paid traffic to a landing page designed to resemble ours. We may require you to pause or remove any paid search campaign, and you will do so promptly on request.
No rebates or kickbacks. You may not offer cash back, rebates, or any other promised share of your commission as an incentive to purchase. Adding your own bonuses or bundling other products with a Renew BioLab purchase is acceptable, provided the offer does not imply that Renew BioLab supplies or endorses the bonus.
9. Prohibited conduct
The following will result in withheld or forfeited commissions and possible removal from the Program: self-referrals or fraud; cookie-stuffing or falsifying traffic or orders; posting codes to coupon-aggregator or other unauthorized channels; paid search that breaches Section 8, including bidding on our trademarks or brand terms; impersonating Renew BioLab; buying to farm commissions and then refunding; advertising on sites that contain or promote illegal activity; spam, including mass email or mass newsgroup posting; offering rebates or kickbacks from your commission (Section 8); and any non-compliant health claim (Section 6).
10. Independent contractor; no agency
You are an independent contractor. Nothing here creates an employment, partnership, joint-venture, or agency relationship. You have no authority to bind Renew BioLab or make representations on its behalf beyond approved marketing.
11. Term, termination, and changes
Term. This Agreement starts when you enroll and continues until terminated.
Termination. Either party may terminate at any time, for any reason, with or without notice. On termination without cause, we will pay cleared commissions accrued through the termination date on the next regular payout. On termination for your breach (including Section 6), unpaid commissions may be forfeited.
Program changes. We may modify the Program, commission rate, customer incentive, thresholds, or these terms prospectively by posting an updated version or notifying you. Continued participation constitutes acceptance.
12. Disclaimers; limitation of liability; indemnification
As-is. The Program and platform are provided “as is,” without warranties of any kind. We do not guarantee any level of clicks, sales, or earnings.
Tracking and platform failures. We are not liable for commissions lost because of affiliate-platform outages or tracking failures, cookie loss or blocking, browser or device settings, ad blockers, data loss, or a customer’s failure to use your link or code. We do not guarantee that the Program or our sites will be uninterrupted or error-free.
Limitation. To the maximum extent permitted by law, Renew BioLab will not be liable for indirect, incidental, special, or consequential damages, and our total liability will not exceed the commissions payable to you in the three months before the claim.
Indemnification. You will indemnify and hold harmless Renew BioLab and its owners, employees, and agents from claims arising out of your promotions, your breach of this Agreement, or your violation of law or third-party rights.
13. Governing law and disputes
This Agreement is governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Disputes are subject to the same binding individual arbitration (AAA, Commercial Arbitration Rules), jury-trial waiver, class-action waiver, and Denver, Colorado venue provisions set out in the Renew BioLab Terms of Service, which are incorporated by reference.
14. Acceptance
By checking “I agree” at enrollment, completing the Program application, or participating in the Program, you acknowledge that you have read, understood, and agree to this Agreement. This is an electronic contract. Completing the application creates an electronic signature that has the same legal force and effect as a handwritten signature. No handwritten signature is required.
